Brossard, Quebec - TheNewswire -February 23, 2024 – Windfall Geotek Inc.(“ Windfall ” or the “ Company ”) (TSXV:WIN ) , ( OTC:WINKF ) , ( FSE:L7C2) announcesthat Dorian Nicol and Joseph Lafleur have been appointed to theCompany’s board of directors (the “ Board ”) asindependent and non-executive directors, pending acceptance from theTSX Venture Exchange (the “ TSXV ”). Mr. Nicol and Mr. Lafleur willserve as independent members of the Company’s Audit Committeealongside David Beck, Chairman & CEO. Following theseappointments, the Board will consist of three directors. Additionally, the Company announces the creation of an AdvisoryBoard led by Andre Gauthier. The Advisory Board will report to theBoard and advise on potential exploration mining acquisitions.
Board of Directors
Mr. Dorian L. (Dusty)Nicol has over 48 years of world-wide experiencein minerals exploration and mining. He led the early work in PapuaNew Guinea which recognized the large porphyry system in the EasternHighlands which eventually became the K92 gold deposit. Mr. Nicol hasheld senior positions on several public companies (TSX, TSX-V, ASX,AIM, and ASE), having served as a CEO / President, VP-Exploration,Technical Director, and Independent Director. Mr. Nicol is aregistered and chartered geologist. He has a B.Sc. Earth Sciencefrom M.I.T. and an M.A. Geology from Indiana University.
Mr. Joseph Lafleur has over 35 years’ experience in the financial servicesindustry, which started with Midland Walwyn, and continued withsuccess at several other investment dealers. He was also a member ofTD Evergreens Advisory Board and played an instrumental role inbuilding their private banking and wealth management division. Mr.Lafleur studied graduated with a business degree from Wilfrid LaurierUniversity.

Mr. André Gauthier has over 47 years of experience in the mining explorationfield with work in over 35 countries. From a start withSOQUEM , Mr. Gauthier experience has spanned wellknown mining companies such as Falconbridge, Noramco, andCambior. In China, he served as President of CIMG .In Dubai, he was member of the Canadian UAE Business council. InCanada, he served as VP of Quebec Prospector Association. In Peru wasDirector of the PeruvianMining Society and President of the Foreigninvestment Committee, founding Director of SARCC and a founding memberand Director Canada PeruChamber of Commerce . Mr. Gauthier has a BScdegree in Geological Engineering and a Master Degree in MineralExploration.
Corporate Update
The Company further provided an update on the TSXVtrading halt previously announced on February 15, 2024. The TSXV hasadvised the Company that the trading halt will remain in place as theCompany and the TSXV discuss the course of the Company’s business.The Company will confirm when the trading halt will be lifted on theTSXV after those discussions are concluded with the TSXV. Finally, the Company confirms that its executive managementteam continues to be comprised of Mr. Beck, CEO, and Scott Kelly, CFOand Corporate Secretary.
