HALIFAX, Nova Scotia, July 18, 2024 (GLOBE NEWSWIRE) -- Appili Therapeutics Inc. (TSX:APLI, OTC:APLIF) (the "Company" or "Appili"), a biopharmaceutical company focused on drug development for infectious diseases and medical countermeasures, announces that it has entered into a second amending agreement (the "Amending Agreement") among the Company, Aditxt, Inc. ("Aditxt") and Adivir, Inc. ("Adivir" and together with the Company and Aditxt, the "Parties") to amend the previously announced arrangement agreement dated April 1, 2024 among the Parties (as amended on July 1, 2024, the "Arrangement Agreement"), pursuant to which Aditxt, through its wholly-owned subsidiary, Adivir, will acquire all of the issued and outstanding Class A common shares of the Company by way of a court-approved plan of arrangement under the Canada Business Corporations Act (the "Transaction").
