• Advanced Energy Industries ( NASDAQ: AEIS ) has priced its private offering of $500M aggregate principal amount of 2.50% convertible senior notes due 2028 at $105.74, premium of approximately 30% over the closing price of $105.74 per share on September 7, 2023.
• The initial purchasers has an option to purchase an additional $75 million aggregate principal amount of the notes.
• Closing date is September 12.
• Net proceeds will be used for future growth, which may include strategic acquisitions, opportunistically repay existing outstanding indebtedness, to repurchase additional common stock or for general corporate purposes.
• The company may redeem for cash all or any portion of the notes, at its option on or after September 20, 2026
