February 14, 2025 – Vancouver, British Columbia – TheNewswire - BlenderBites Limited (the “ Company ”, “ Blender Bites ” or“ Blender ”), (CSE: BITE, FWB: JL4, WKN: A3DMEJ) announces that itanticipates a delay in filing its financial statements for the periodended October 31, 2024, and the related management’s discussion andanalysis, and CEO and CFO certifications (collectively, the“ RequiredFilings ”), which are required to befiled on or before February 28, 2025. The expected delay in filing theRequired Filings is due to the Company's former auditor, GreenGrowthCPAs, resigning as the auditors of the Company on their own initiativeon July 10, 2024 and the Company's new auditor not being appointeduntil October 31, 2024, as well as the resignation of the Company’sformer CFO on February 13, 2025.
Accordingly, the Company has applied to the BritishColumbia Securities Commission, the Company’s principal securitiesregulator in Canada, for the issuance of a management cease tradeorder (“ MCTO ”) under the provisions ofNational Policy 12-203 – Management Cease Trade Orders (“ NP 12-203 ”) to be granted inconnection with the late filing of the Required Filings, so as topermit the continued trading in the Company's common shares by personsother than the Company's Chief Executive Officer, interim-ChiefFinancial Officer and such other directors, officers and persons asdetermined by the applicable regulatory authorities. There is noguarantee that an MCTO will be granted. However, if an MCTO isgranted, the Company expects to file the Annual Filings on or beforeApril 28, 2025.
The Company confirms that it intends to satisfy theprovisions of the alternative information guidelines described in 10of NP 12-203 and issue biweekly default status reports for so long asit remains in default of the requirement to file the Required Filings.The Company has not taken any steps towards any insolvency proceedingand the Company has no material information to release to the public.The Company has made the foregoing representations in accordance withthe requirements of applicable securities laws.
