CSFFF - Capstone Mining Mantos Copper to merge in all-stock deal
Capstone Mining (OTCPK:CSFFF) and Mantos Copper announce a merger to form a new company called Capstone Copper. Under the deal terms, each current Capstone Mining shareholder will receive one share of the new company per share owned of Capstone Mining; current Capstone owners will own 61% of the new company, while Mantos shareholders will own 39%. Mantos Executive Chairman John MacKenzie will become CEO of the combined company, while Capstone Mining President and CEO Darren Pylot will be Executive Chairman. The merger would create a company with a combined 2021 copper production base of more than 175K metric tons of copper from four mines and combined copper reserves of 4.9M tons. The companies say they plan to increase production by 45% by 2024 to 260K tons/year of copper from fully-financed projects with Mantos Blancos currently ramping up and construction underway at Mantoverde.
