CFLT - Confluent prices $1B of convertible notes offering

Confluent (NASDAQ:CFLT) has priced its offering of $1B of 0% Convertible Senior Notes due 2027 in a private placement. Initial purchasers are granted an option to purchase up to an additional $100M of notes. The initial conversion rate is 9.9936 shares Class A common stock per $1,000 principal amount of Notes (equivalent ~$100.06/share). Net proceeds of ~$982.1M will be used to pay the cost of the capped call transactions, for working capital and other general corporate purposes, including acquisitions of, or strategic investments in, complementary businesses, products, services, or technologies.
