CCSI - Consensus Cloud Solutions prices 2M shares in secondary stock offering

Consensus Cloud Solutions Inc.
Consensus Cloud Solutions (NASDAQ:CCSI) priced its earlier announced underwritten secondary offering by Ziff Davis of 2M shares of common stock at $41.00/share. Offer is expected to close on or about June 14. Selling Stockholder has granted the underwriters a 30-day option to purchase up to an additional 0.3M shares. Selling stockholder will receive all of the proceeds from the offering. Simultaneously prior to the closure of the offering, Ziff Davis intends to exchange 2M shares of Consensus common stock for indebtedness of Ziff Davis. Ziff Davis will also offer to exchange with J.P. Morgan Securities LLC and Citicorp North America up to an additional 0.3M shares of Consensus common stock for indebtedness of Ziff Davis that will be owned by J.P. Morgan Securities LLC and Citicorp North America.
