(" Ventripoint " or the " Company "), (TSXV:VPT) is pleased to announce that, subject to TSXVapproval, it has engaged San Diego T orrey HillsCapital, Inc. ("Torrey Hills Capital"), a Rancho Santa Fe,California based investor relations firm, to provide market awarenessand investor relations services to the Company in compliance with TSXVpolicies. Cliff Mastricola is the principal of Torrey Hills Capitaland will be responsible for activities related to Ventripoint.
Torrey Hills Capital is a leadinginvestor and financial public relations firm specializing in small andmicrocap companies. Torrey Hills Capital will increase awareness about Ventripoint through its established relationships withinvestment professionals, investment advisors, and money managersfocused on the microcap market space. This will allow the Company tobuild and maintain an informed investor audience in both the U.S. andCanadian marketplaces.
TorreyHills Capital will receive US$ 5 ,000 per month during theterm of the agreement. After an initial one month term, the agreementwill be automatically extended, subject to a 15 -daytermination notice by either party. Ventripoint has also agreed to a one-time grant of 3 00,000 incentive stock options (the"Options") exercisable at a price of C$0. 10 pershare exercisable for a period of three years. The Options willbe subject to the terms of the Company's stock option plan and willvest in accordance with the provisions therein and the policies of theTSX-V.
Torrey Hills Capital currently has nodirect or indirect interest in the securities of Ventripoint , or any right or intent to acquire such aninterest except pursuant to the exercise of the above referencedOptions.
The appointment of Torrey Hills Capitalas an investor relations consultant of Ventripoint and the granting of the Options remainsubject to regulatory acceptance of applicable filings with theTSX-V.
