MKT:CC - DeepMarkit Announces Closing of First Tranche of Private Placement

Calgary, Alberta – May 3, 2024 – TheNewswire – DeepMarkit Corp., (“DeepMarkit” or the“Company”) (TSXV: MKT) (OTC: MKTDF) (FRA: DEP ) is pleased toannounce the closing of the first tranche of its previously announcedprivate placement of units (the " Offering ").
Pursuant to the closing of the first tranche of theOffering, the Company issued 4,126,498 units (" Units ") for aprice of $0.06 per Unit, for gross proceeds of $ 247,589.88. Each Unit is comprised ofone common share of DeepMarkit (each, a " Common Share ")and one Common Share purchase warrant (each, a " Warrant "). Each Warrant will entitle the holder to purchase one additionalCommon Share at an exercise price of $0.10 for a period of two (2)years from the date of issuance.
Aggregate finder’s fees of $7,805 in cash were paidto certain finders in connection with thePrivate Placement: PI Financial Corp. - $2,205; Haywood SecuritiesInc. - $4,690; and Leede Jones Gable Inc. - $910. Inaddition, an aggregate of 130,082 broker’swarrants (each a “Broker’s Warrant”) were issued, with eachBroker’s Warrant entitling the holder thereof to receive one commonshare at an exercise price of $0.06 for a period of one (1) year fromthe date of issuance.
DeepMarkit intends to use the net proceeds of theOffering for general working capital purposes.
Completion of the private placement is subject toregulatory approval, including approval of the TSX Venture ExchangeInc. (the “Exchange”). The Common Shares,Warrants and Broker ’sWarrant issued will be subject to a four-monthhold period from the date of the closing of the Offering.
