Calgary, Canada – June 27, 2024 – TheNewswire – DeepMarkit Corp., ("DeepMarkit"or the "Company") (TSXV: MKT) (OTC: MKTDF) (FRA:DEP) , is pleased to announce that it has beengranted an extension to complete its previouslyannounced (May 15, 2024 and June 26, 2024) non-brokered private placement of up to 5,000,000 Units(" Units ") for total gross proceeds of up to $500,000 (the“ PrivatePlacement ”). Each Unit comprises one commonshare in the capital of the Company (each, a " Common Share ")and one common share purchase warrant (each a “ Warrant ”). EachWarrant entitles the holder to purchase one additional common share ofDeepMarkit at an exercise price of CAD $0.20 for a period of two (2)years from the date of issuance of the Units.
The Company closed the first tranche of the PrivatePlacement consisting of 1,730,000 Units ($173,000) on June 26,2024.
In connection with the Private Placement, the Companymay pay finder’s fees on the Units sold in an amount equal up to 7%of the gross proceeds of the Private Placement, payable in cash or inUnits, and broker warrants equal to 7% of theUnits sold in the Offering. Each broker warrant will entitle theholder to acquire one Common Share for a price of $0.10 per CommonShare for one (1) year from closing of the Offering.
The net proceeds from the Private Placement will beused to for general corporate and working capital purposes. The CommonShares and Warrants issued pursuant to the Private Placement will besubject to a four month hold period required under applicablesecurities laws. The Private Placement is subject to acceptance bythe TSX Venture Exchange.
