Calgary, Canada – April 9, 2024 – TheNewswire – DeepMarkit Corp.,("DeepMarkit" or the "Company") (TSXV: MKT) (OTC:MKTDF) (FRA: DEP) , is pleased to announce a non-brokered private placement of up to$300,000 (the “Private Placement”). Under the Private Placement,which is subject to acceptance by the Exchange, DeepMarkit intends to issue, pursuantto applicable exemptions from prospectus requirements of Canadiansecurities laws, up to 5,000,000 Units (the “Units”) at a price of CAD $0.06 per Unit.Each Unit comprises one common share and one common share purchasewarrant (each a “Warrant”). Each Warrant entitles the holder topurchase one additional common share of DeepMarkit at an exerciseprice of CAD $0.10 for a period of two (2) years from the date ofissuance of the Units.
The net proceeds from the Private Placement will beused to for general corporate and working capital purposes. Commonshares issued pursuant to the Private Placement will be subject to afour month hold period required under applicable securitieslaws.
