Calgary, Alberta - TheNewswire - October 16, 2023 - DeepMarkit Corp. , (“DeepMarkit” or the “Company”)(TSXV:MKT) (OTC:MKTDF) (FRA:DEP) is pleased toannounce that it plans to complete a non-brokered private placement ofup to 2,500,000 units (the “ Units ”) of DeepMarkit at a price of $0.10per Unit for aggregate gross proceeds of up to a maximum of $250,000(the “ Offering ”). There is no minimum Offering. The Units will becomprised of one (1) common share (“ Common Share ”) andone (1) share purchase warrant (“ Warrant ”) ofDeepMarkit. Each Warrant entitles the holder thereof to purchase oneCommon Share for $0.20 expiring one (1) year from the date of theclosing of the Offering.
DeepMarkit may pay a cash commission or finder's fee toqualified non-related parties of up to 8% of the gross proceeds of theOffering (up to $20,000), payable in cash or in Units at thediscretion of the finder, and broker warrants (the “ Broker Warrants ”)equal to up to 8% of the number of Units sold in the Offering (up to200,000 Broker Warrants). Each Broker Warrant will entitle the holderto acquire one Common Share at a price of $0.10 per Broker Warrant fora period of one (1) year from the date of issuance.
DeepMarkit intends to use the net proceeds of theOffering for general working capital purposes.
Completion of the Offering is subject to regulatoryapproval including, but not limited to, the approval of the TSXVenture Exchange. The Common Shares and Warrants issued will besubject to a four month hold period from the date of the closing ofthe Offering.
