DMRC - Digimarc Announces Registered Direct Offering of Common Stock

BEAVERTON, Ore. , April 6, 2022 /PRNewswire/ -- Digimarc Corporation (NASDAQ: DMRC), a global leader in product digitization, today announced that it has entered into purchase agreements to sell a total of 2,250,000 common shares in a registered direct offering to certain investors at a price of $25.90 per share. The offering was made without an underwriter or placement agent.

The gross proceeds to Digimarc from the offering are expected to be approximately $58.3 million . The offering is expected to close on or about April 7, 2022 . Digimarc intends to use the net proceeds from the offering for general corporate purposes.

The shares described above are being offered by Digimarc pursuant to a registration statement on Form S-3 previously filed with and subsequently declared effective by the Securities and Exchange Commission ("SEC") on July 24, 2020 .
