Vancouver, British Columbia /TheNewswire / March 12, 2024 – Dixie Gold Inc. (TSXV:DG) (“ DixieGold ” or the “ Corporation” )announces that it intends to conduct a non-brokered private placementto raise capital, as further set by the parameters of itsmarket-traded price.
The Corporation intends to conduct a non-brokeredcommon share unit financing (the " Financing ")consisting of up to 5,000,000 common share units (the “ Units ”) to beissued at a price of $0.05 per Unit.
Each Unit will consist of one common share of theCorporation (a " UnitShare ") and one common share purchasewarrant (a “ Warrant ”) that entitles the holder of aWarrant, upon further payment to the Corporation, to acquire oneadditional common share of the Corporation (a " Warrant Share ")at an exercise price of $0.05 per Warrant Share on any date prior tothe date which is 60 months following the closing date of theFinancing or tranche thereunder.
The Corporation intends to use the proceeds of theFinancing for working capital purposes.
The Corporation does not intend to pay any finder’sfees under the Financing, with today’s announcement, if successfullyplaced, expected to result in greater net proceeds for the Corporationas compared to a financing of gross proceeds minus finder’sfees.
Insiders (as that term is defined by securities laws)may participate for 25% or more of the Financing in effort to supportthe financial position of the Corporation.
The Financing is subject to all applicable regulatoryapprovals, including by the TSX Venture Exchange, as well as acustomary four-month hold period on securities issued, all as pursuantto applicable securities laws of Canada.
Cancellation of PriorFinancing
The Corporation has cancelled its previously announcedprivate placement (see news release, Dixie Gold Inc. Announces$250,000 Capital Raise dated March 6, 2024), under which it hadpreviously made third-party finder’s fees available.
