NVST - Envista prices $435M convertible senior notes

• Envista ( NYSE: NVST ) prices offering of $435M in aggregate principal amount of its 1.75% convertible senior notes due 2028 in a private offering.
• Initial purchasers have an option to purchase up to an additional $65.25M aggregate principal amount of notes.
• The notes will be senior, unsecured obligations of Envista and will accrue interest at a rate of 1.75% per annum, payable semi-annually in arrears on February 15 and August 15 of each year, beginning on February 15, 2024. The notes will mature on August 15, 2028, unless earlier converted, redeemed or repurchased.
• The issuance and sale of the notes are scheduled to settle on August 10, 2023.
