EB - Eventbrite raises $185M through convertible senior notes offering

Eventbrite (EB) has priced $185M of 0.750% convertible senior unsecured notes due September 15, 2026 in a private offering.Initial purchasers granted an option to purchase up to an additional $27.75M of notes. Interest will be payable semi-annually in arrears on March 15 and September 15 of each year, beginning on September 15, 2021. Net proceeds estimated to be ~$179.6M (or ~$206.6M if the initial purchasers fully exercise their option) and intends to use ~$153.2M to repay outstanding indebtedness under May 2020 credit agreement, ~$16.1M to fund the cost of the capped call transactions and the remainder for general corporate purposes.
