EVREF - EverArc agrees to take Perimeter Solutions public in a $2B deal

Feverpitched/iStock Editorial via Getty Images EverArc Acquisition (EVREF), a public acquisition company, agreed to acquire Perimeter Solutions from SK Invictus Holdings S.à.r.l. in a transaction valued at about $2B.Perimeter Solutions makes firefighting products and lubricant additives. Perimeter Solutions is an affiliate of funds advised by SK Capital Partners, according to a statement.Transaction financing is fully committed and, consistent with EverArc's structure, is not subject to shareholder approval. The deal is expected to close in Q4. EverArc is beginning the process to transition its public listing from London to New York, where the combined entity is expected to begin trading in Q4.Perimeter Solutions current CEO Edward Goldberg will continue to lead the company.Perimeter Solutions was formed in 2018 when SK Capital agreed to buy Israel Chemicals' fire safety and oil additives business.The Valence Group of Piper Sandler and Morgan Stanley acted as financial advisors to EverArc and Greenberg Traurig LLP acted as English and US legal advisor
