Vancouver, BC, September 17, 2025 – TheNewswire - Fidelity Minerals Corp. (TSX-V:FMN | FSE: S5GM | SSE: MNYC) (“ Fidelity Minerals ” or the “ Company ”) ispleased to announce that it has arranged a non-brokered privateplacement financing (the "Financing") of up to 12,500,000units at a price of C$0.10 per unit for total gross proceeds of up toC$1,250,000. Each unit will consist of one common share and one-halfwarrant, with each full warrant exercisable into one additional commonshare at C$0.20 for a period of 24 months after the closing date.
The Company intends to use the net proceeds of theFinancing to advance its Peruvian exploration and community relationprograms, and corporate working capital purposes.
The Company intends to pay finders' fees toeligible finders, in accordance with applicable securities laws andthe policies of the TSX Venture Exchange (“ TSXV ”). TheFinancing is subject to approval of the TSXV, and all securitiesissued under the Financing will be subject to statutory hold periodsexpiring four months and one day from the date of closing of theFinancing.
