The Meeting is being held for the following purposes:

1. To receive the audited consolidated financial statements of the Company for the year ended December 31, 2022 , together with the report of the auditors;
2. To appoint PricewaterhouseCoopers LLP, Chartered Professional Accountants as auditors of the Company for the ensuing year, and to authorize the directors to fix the remuneration to be paid to the auditors;
3. To elect the directors of the Company for the ensuing year; and
4. To consider and, if deemed advisable, to pass, with or without variation, a special resolution approving an amendment to the articles of incorporation to change the name of the Company from Filo Mining Corp. to Filo Corp.
