(“ Gatekeeper ” or the “ Company ”)(TSX-V:GSI) (OTC:GKPRF), a leader in video and data solutions forprotecting people in transit, together with Mr. Douglas Dyment, President, CEO and a director of the Company(the “ Reporter ”) is disseminating this press release as required byNational Instrument 62-103 - The Early Warning System and Related Take-Over Bid and InsiderReporting Issues in connection with the filingof an early warning report regarding the disposition of securities ofthe Company.
On September 3, 2025, the Reporter sold 4,000,000common shares of the Company (“ Common Shares ”) at a price of $1.60 perCommon Share for total consideration of approximately $6.4 million(the “ Transaction ”). TheReporter’s sale was undertaken to satisfy marital separationsettlement agreement obligations and personal debt. Canaccord GenuityCorp. and Raymond James Ltd., underwriters in the Company’s recent$11.5 million bought deal financing, facilitated the sale of theCommon Shares in the Transaction to institutional and retailshareholders.
As at May 5, 2020, being the date of the last earlywarning report filed by the Reporter, the Reporter beneficially ownedand exercised control over a total of 9,830,792 Common Shares andoptions exercisable to acquire 2,500,000 Common Shares. These Common Shares and convertible securities representedapproximately 11.07% of the Company’sthen-issued and outstanding Common Shares on an undiluted basis and approximately 13.5% of theCompany’s then-issued and outstanding Common Shares on a partially diluted basis, assumingconversion of all convertible securities beneficially owned andcontrolled by the Reporter. On May 8, 2025, theReporter entered a marital separation agreement pursuant to which1,672,792 Common Shares held by him were registered as separateproperty.
Immediately prior to the Transaction, the Reporterbeneficially owned and exercised control or direction over a total of8,158,000 Common Shares and options exercisable to acquire 2,000,000Common Shares. These Common Shares and convertiblesecurities represented approximately 7.85% of the Company’s issuedand outstanding Common Shares on an undiluted basis and approximately 9.78% of theCompany’s issued and outstanding Common Shares on a partially diluted basis, assumingconversion of all convertible securities beneficially owned andcontrolled by the Reporter .
Upon completion of the Transaction, the Reporter nowholds beneficial ownership of 4,158,000 Common Shares plus 2,000,000Company stock options representing approximately 4.0% of the issuedand outstanding Common Shares on an undiluted basis and approximately5.8% of the Company’s issued and outstanding Common Shares on apartially diluted basis, assuming conversion of all convertiblesecurities owned and controlled by the Reporter.
In the future, the Reporter may increase or decreasehis shareholdings from time to time depending on market conditions orother related factors.
