(CSE: FUTR) (FSE: G6M), (OTC: GFTRF) (the “ Company ” or“ Gold’nFutures ”) announced that it has closed thepreviously announced debt settlement agreements. The Company issued12,426,604 common shares at a deemed price of $0.0053 per Share to thecreditors, based on a 20-day VWAP in settlement of $65,861.00 of debt.
The Company relied on the “Employee, ExecutiveOfficer, Director and Consultant” exemption contained in section2.24 (the “ Exemption ”) of NI 45-106 ProspectusExemptions, to issue the Shares to the creditors. Securities issuedunder the Exemption are not subject to a hold period and are freetrading.
