GPK - Graphic Packaging subsidiary launches senior notes offering

Graphic Packaging International, a direct wholly-owned subsidiary of Graphic Packaging International Partners and the primary operating subsidiary of Graphic Packaging Holding Company (NYSE:GPK), has announced a proposed senior notes offering. The private offering comprises $400M of the company's senior notes due 2030 (the "Dollar Notes") and €290M of its senior notes due 2029 ("Euro Notes"). The senior notes will be senior unsecured obligations of Graphic Packaging and will be guaranteed by Graphic Packaging International Partners as well as by Graphic Packaging's existing and future material domestic subsidiaries. Net proceeds from the offering of the Dollar Notes will be used to repay in full the borrowing under the Incremental Term A-4 Loan under the Fourth Amended and Restated Credit Agreement, which was incurred to fund the acquisition of 100% of the shares of AR Packaging Group by GPI Sweden Holdings.
