(“Hello Pal” or the“Company”) (CSE:HP ) (CNSX:HP.CN) ( Frankfurt:27H ) ( OTC:HLLPF), aprovider of rapidly growing international live-streaming, socialmessaging and language learning mobile apps, is pleased to announcethat it has completed its previously announced non-brokered privateplacement of 8,333,333 units (each a “Unit”) at a price of $0.12per Unit for gross proceeds of $1,000,000 (the “Offering”).
Each Unit is comprised of one common share and one-halfof one common share purchase warrant (each whole share purchasewarrant, a “Warrant”), with each whole Warrant entitling theholder to purchase one additional common share at a price of $0.25 pershare for a period of two (2) years from the date of issue.
All securities issued in connection with the Offeringwill be subject to a statutory hold period expiring April 2, 2021. The proceeds of the Offering will be used to grow the Company’slivestreaming business and working capital purposes.
