A clinical-stage therapeutics company, Histogen ( NASDAQ: HSTO ) has entered into a securities purchase agreement with a single healthcare-focused institutional investor to issue 1.77M shares of common stock, Series A warrants to purchase additional 1.77M and Series B warrants to purchase up to an aggregate of 1.77M at a purchase price of $2.818 per share of common stock .
Expected gross proceeds to Histogen of ~$5M.
Closing is expected to occur on or about July 15, 2022.
