TORONTO , June 2, 2021 /CNW/ - Kontrol Technologies Corp. ( NEO: KNR ) (OTCQB: KNRLF) (FSE: 1K8) (" Kontrol " or the " Company ") a leader in smart buildings and cities through IoT, Cloud and SaaS technology is pleased to announce that it has closed its private placement announced on May 27, 2021 for total gross proceeds of approximately Cdn $8.5 million (the " Private Placement ").  Pursuant to the Private Placement, the Company issued 5,666,332 units for Cdn $1.50 each, with each unit comprising of one common share (each a " Share " and, collectively, the " Shares ") and one-half common share purchase warrant (each a " Warrant " and, collectively, the " Warrants ").  Each full Warrant entitles the holder thereof to purchase one Common Share at an exercise price of Cdn $1.75 per Share at any time prior June 1, 2024 .

A.G.P./Alliance Global Partners (the " Agent ") acted as the exclusive placement agent for the private placement in the United States .

In the United States , the Shares, Warrants and the shares issuable upon the exercise of the Warrants were offered on a private placement basis pursuant to exemptions from the registration requirements of the United States Securities Act of 1933, as amended (the " U.S. Securities Act "), and certain other jurisdictions in accordance with applicable securities laws.

In consideration of the services provided, the Company paid the Agent a total cash fee equal to seven percent (7%) of the gross proceeds from Private Placement. The Company's intended use of proceeds from the private placement is for capital expenditures, working capital and general corporate purposes.
