LEAF - Leaf Group to be acquired by Graham Holdings for $8.50 per share in all-cash transaction

Leaf Group (LEAF) soared 18% premarket, inks an agreement with Graham Holdings Company (GHC), under which Graham Holdings will acquire all of the outstanding shares of common stock of Leaf Group for $8.50/share in an all-cash transaction valued at ~$323.The per share consideration represents a premium of ~21% to LEAF's closing price on April 1, 2021.Post-acquisition, Leaf Group will become a wholly-owned subsidiary of Graham Holdings.The transaction is expected to close in June or July of 2021, is subject to the approval of Leaf Group shareholders, customary regulatory.Press Release
