LPSN - LivePerson under pressure on launching private $450M convertible debt offering

LivePerson (LPSN) to offer $450M of convertible senior unsecured notes due December 15, 2026 in a private offering.Initial purchasers granted an option to purchase up to an additional $67.5M of the notes. Interest on the notes will be payable semi-annually in arrears. The company intends to use a portion of the net proceeds to pay the cost of the capped call transactions and the remaining for general corporate purposes.Shares down 4.2% premarket.
