WALRF - MegaWatt announces non-brokered private placement of up to C$1M

• MegaWatt Lithium and Battery Metals ( OTCQB:WALRF ) has announced a non-brokered private placement for aggregate gross proceeds to the Co. of up to C$1M from the sale of any combination of units priced at C$0.065/Unit and flow-through units at C$0.075/FT Unit.
• Each Unit will be comprised of one common share and one half of one common share purchase warrant.
• Each Warrant will entitle the holder thereof to purchase one common share of the Co. at a price of C$0.12 for a period of 24 months following the closing date of the Offering.
• The net proceeds will be used to fund the exploration of the Company's projects in Canada and Australia and for general working capital purposes.
• The Company advises that it is continuing to investigate potential joint venture and earn in option transactions with respect to the Co.'s Quebec properties.
• The closing of the Offering is expected to occur on or about Sept. 15, 2022.
