MBOT - Microbot Medical prices $2M direct offering

• Pre-clinical medical device company, Microbot Medical ( NASDAQ: MBOT ) stock price is down 14% enters agreement for the purchase and sale of ~624K shares at a purchase price of $3.25 per share.
• The company will issue unregistered series D preferred investment options.
• The series D preferred investment options to purchase up to ~312K shares of $3.19 per share and are immediately exercisable for a period of five and one-half years following issuance.
• The gross proceeds are expected to be $2M.
• Net proceeds will be used for the continued development, commercialization and regulatory activities for the Company’s LIBERTY Robotic System, expansion and development of additional applications derived from the Company’s existing IP portfolio, and for working capital and other general corporate purposes.
• The closing is expected to occur on or about June 28, 2023.
