Missfresh ( NASDAQ: MF ) has entered into two separate share purchase agreements with two investors, the company said Thursday.

Under its share purchase agreements for financing, certain investors have agreed to subscribe 5.4 billion Class B ordinary shares of the company for US$27.0 million.

Upon completion of the transactions, the new investors will hold about 88.1% of the company’s total issued and outstanding shares.

Under its share purchase agreement for business acquisition, the company has agreed to purchase all ordinary shares of Mejoy Infinite Limited held by its shareholder for US$12.0 million in cash.

Upon closing the acquisition, the company will start to provide customized digital marketing solutions and services.
