MKSI - MKS Instruments purchase of Atotech approved by Jersey court
- The Royal Court of Jersey has approved the the scheme of arrangement to implement MKS Instruments' ( NASDAQ: MKSI ) $5B planned acquisition of Atotech ( NYSE: ATC ).
- MKS Instruments ( MKSI ) agreed to buy Atotech ( ATC ) for $16.20 in cash and 0.0552 of a share of MKS common stock in July 2021.
- In Nov 2021, the transaction was approved by Atotech shareholders at a meeting convened pursuant to an order of the Royal Court of Jersey. It also received clearance from China's antitrust authority in late July 2022.
- All material conditions to the closing of the acquisition have now been satisfied and the closing is scheduled for August 17, 2022, when the court order sanctioning the scheme of arrangement will be delivered to the Registrar of Companies for the Bailiwick of Jersey.
