HRZN - Monroe Capital to acquire Horizon Technology Finance Management

• Asset management firm Monroe Capital has entered into a definitive agreement with Horizon Technology Finance ( NASDAQ: HRZN ) to acquire the latter's investment adviser, Horizon Technology Finance Management (HTFM).
• Financial terms of the deal were not disclosed.
• Horizon's ( HRZN ) board unanimously approved a new investment advisory agreement with HTFM, subject to stockholder approval and the closing of the transaction. Terms of the proposed agreement are substantially similar to the existing agreement between HTFM and Horizon.
• HTFM's current management team and investment personnel are likely to continue serving as officers and senior management of the company. Meanwhile, Horizon ( HRZN ) plans to maintain and expand its venture lending investment strategy.
• Deal completion is subject to customary closing conditions, including approval of the investment advisory agreement by the company's stockholders.
