MP - MP Materials prices secondary stock notes offering

MP Materials (MP) has priced its secondary public offering of 6M shares of common stock by existing stockholders (Selling Stockholders) at $35.00/share.Underwriters' over-allotment is an additional 900K shares.MP Materials will not receive any proceeds from the offering.Also, the company has priced $600M of its 0.25% Green Convertible Senior Notes due 2026 through a private offering.Initial purchasers have an option to purchase, within 30 days, up to an additional $90M of notes. The initial conversion rate is 22.5861 shares per $1,000 principal amount of the notes, (~$44.28/share).Net proceeds of ~$584.5M will be used to invest or finance eligible “green projects” and for general corporate purposes. Closing date for both stock and notes offering is March 26.Previously (March 22): MP Materials slides on notes, secondary stock offering
