NLST - Netlist announces $30M registered direct offering

• Netlist ( OTCQB:NLST ) has entered into a definitive agreement for the purchase and sale of an aggregate of 11.11M shares and warrants to purchase 11.11M shares of common stock in a registered direct offering.
• The shares of common stock are being sold at a purchase price of $2.70/share. For each share of common stock purchased, the purchaser will receive a warrant to purchase one share of common stock.
• These common stock warrants will have an exercise price of $3.20/share, are immediately exercisable and will expire five years following the date of issuance.
• The gross proceeds from the offering are expected to be ~$30M and the net proceeds will be used for general corporate purposes, including working capital.
• The offering is expected to close on or about August 17, 2023.
