NLRCF - Northern Lights Announces Non-Brokered Private Placement - Price Adjustment

Vancouver, BritishColumbia – TheNewswire - July 5, 2022 - Northern Lights Resources Corp. (“Northern Lights”, “NLR” or the“Company”) (CSE:NLR ) , (CNSX:NLR.CN), ( OTC:NLRCF) announces that due toprevailing market conditions, the Company has repriced the privateplacement announced on June 1. The amended price of the intendednon-brokered private placement (the“ Placement ”) for gross proceeds of up to C$1,000,000 from the sale ofcommon shares of the Company (the “ Shares ”) has beenadjusted to C$0.05 per Share.

The Company intends to use the net proceeds raised fromthe Placement for the exploration of the Company’s Secret Pass GoldProject located in Northwestern Arizona, USA and for general workingcapital purposes.

The Placement may be completed in multiple tranches andis subject to receipt of executed subscription agreements and funds aswell as customary closing conditions, including regulatory approvalsas required.

In accordance with applicable securities laws, theShares issued under the Placement will be sold to accredited investorsor other investors who are exempt from prospectus requirements andwill be subject to a four-month hold period in Canada. While thePlacement is non-brokered, referral fees may be paid on a portion ofthe proceeds to eligible persons, where permitted by applicable law.
