CALGARY, Canada (June 20, 2025)— TheNewswire - Pambili Natural Resources Corporation (“ Pambili ” or the“ Company ”) (TSXV: PNN) is providing thisbiweekly update on the status of the management cease trade orderissued on May 7, 2025 (“ MCTO ”), by its principal regulator, theAlberta Securities Commission (the “ ASC ”), underNational Policy 12-203 - Management Cease Trade Orders (" NP12-203 ").
In its news release dated June 11, 2025 (the“ Announcement ”), the Company provided clarification to its originalapplication to the ASC for the MCTO due to a delay in filing itsaudited annual financial statements and related management discussionand analysis, and certifications for the financial year ended Dec. 31,2024 (the " RequiredFilings ").
As a result of the delay in making the RequiredFilings, the Company was also unable to file its unaudited interimfinancial statements, related management’s discussion and analysisand CEO and CFO certifications for the three months ended March 31,2025 (the “ InterimFilings ”), which were required to be made nolater than May 30, 2025.
The Company now anticipates making the RequiredFilings, by Aug. 31, 2025, and the Interim Filings by Sept. 5,2025.
The Company confirms that since the date of theAnnouncement, (i) there have been no material changes to theinformation contained in the Announcement that would reasonably beexpected to be material to an investor, (ii) there have been nofailures by the Company in fulfilling its stated intentions withrespect to satisfying the provisions of the alternative informationguidelines as set out in NP 12-203, (iii) there has not been, nor isthere anticipated to be, any other specified default subsequent to thedefault which is the subject of the Announcement, and (iv) there is noother material information concerning the affairs of the Company thathas not been generally disclosed.
The Company remains committed to completing itsfinancial reporting obligations and confirms that it intends tosatisfy the provisions of NP 12-203 and will continue to issuebi-weekly MCTO status reports until the Company files the RequiredFilings on or before Aug. 31, 2025 and the Interim Filings by Sept. 5,2025.
