PWOD - Penns Woods Bancorp files $85M mixed securities shelf

• Penns Woods Bancorp ( NASDAQ: PWOD ) has filed for an $85M mixed securities shelf offering, consisting of common stock, preferred stock, depository shares, warrants, debt securities and subscription rights, according to an SEC filing dated Thursday.
• "We may offer these securities separately or together, in separate series or classes and in amounts, at prices and on terms described in one or more prospectus supplements," the filing said.
• The debt securities, preferred stock and warrants could be convertible or exercisable or exchangeable for debt or equity securities of the company or of one of more entities.
• Towards the end of May, Pennsylvania-based Penns Woods ( PWOD ) declared a quarterly dividend of $0.32 a share, in line with the previous payout.
