RRD - R.R. Donnelley says Chatham Asset $10.25/share bid is superior to Atlas deal

R.R. Donnelley (NYSE:RRD) said it determined that Chatham Asset Management's $10.25/share offer is Atlas Holdings $8.25/share deal. R.R. Donnelley (RRD) notified the Atlas board that it intends to terminates its transaction, according to a statement. RRD is required to pay Atlas a $20M termination fee, which will be paid by Chatham. Centerview Partners  is serving as financial advisor and Skadden, Arps, Slate, Meagher & Flom LLP is serving as legal advisor to RRD. Chatham raised its bid for R.R. Donnelley (RRD) earlier this week to $10.25/share after the company disclosed that it received a $10/share offer during its go-shop period.
