RVL Pharmaceuticals ( NASDAQ: RVLP ) has priced an offering of its ordinary shares to raise $5 million.

The company said it will offer 11,870,846 shares at $0.4212 apiece.

The company also agreed to issue unregistered series A-1 warrants to purchase up to 11,870,846 ordinary shares and unregistered series A-2 warrants to purchase up to 11,870,846 ordinary shares.

The warrants have an exercise price of $0.4212 per share.

H.C. Wainwright is acting as the exclusive placement agent for the offering.

The net proceeds will be used for general corporate purposes.

Shares -24.1% at 32 cents premarket.
