SIRE - Sisecam Resources to be acquired by Sisecam Chemicals

• Sisecam Resources ( NYSE: SIRE ) agreed to a merger under which Sisecam Chemicals subsidiary, Sisecam Chemicals Wyoming will acquire all of the outstanding common units of Sisecam not already owned by Parent and its affiliates.
• The agreement is an all-cash transaction, whereby each holder will receive $25 per unit, representing a 3% premium to its closing price on Wednesday.
• Sisecam is currently valued at $491.03M.
• Parent owns ~74% of the outstanding common units, and immediately following the execution of the agreement, Parent delivered to Sisecam an irrevocable written consent approving the transaction.
• The transaction is expected to close on or prior to July 30, 2023.
• ( SIRE ) is up ~3.4% after the bell.
