Shareholder Approval of Other Matters

Shareholders also voted at the Meeting to approve each of the otherresolutions described in Source’s Notice of Annual Meeting ofShareholders and Management Information Circular, dated March 9, 2022,and the Supplement to the Information Circular, dated March 31, 2022(together the “ Information Circular ”), as follows: (i)the ordinary resolution to fix the number of directors to be electedat the meeting at six (6) was approved by 99.97 %of the votes cast by Shareholders; and (ii) the ordinary resolutionapproving the appointment of Ernst & Young LLP as the auditor ofthe Company was approved by 100% of the votes cast by Shareholders.
