IDAI - Trust Stamp to launch ~$5.2M registered direct offering

- Trust and identity services company Trust Stamp ( NASDAQ: IDAI ) said on Friday that it is set to sell 1.57M shares in an ~$5.2M registered direct offering priced at-the-market under Nasdaq rules to a single institutional investor.
- The company has entered into a securities purchase agreement for the offering.
- In a concurrent private placement, the company has also agreed to sell unregistered warrants to purchase up to an aggregate of 1.57M shares.
- The combined effective offering price for each share and accompanying warrant is $3.30.
- The offering is expected to close on or about April 18.
