Vancouver, BC - TheNewswire - December 19, 2023 - Uniserve Communications Corporation (the “ Company ” or“ Uniserve ”) (TSXV:USS) wishes to announce the results ofthe votes at its Annual General Meeting held Thursday, December 14,2023.
The Company currently has 80,523,971 common sharesissued and outstanding. A total of 49 shareholders votedrepresenting 58.84% of the total issued and outstanding shares.
The Report of the Directors for the Company’sconsolidated financial statements for its May 31, 2023 fiscal year endand the Auditors Report accompanying same were presented at themeeting.
Approval was given to setting the number of directorsto be elected to the board for the ensuing year at seven, with there-appointment of Messrs. Earnest C. Beaudin,Kelly Walker, Walter Schultz, Stuart Omsen, and Kwin Grauer, and theaddition of nominees Bikramjeet (Rony) Pawar and BradleyScharfe.

The vote for the continuation of the Company’s ShareOption Plan, which is a rolling stock option plan as particularlydescribed in the Management Proxy Circular for the Meeting, did notreceive shareholder approval with a vote of 85.26% against. TheCompany will seek shareholder approval at its next Annual GeneralMeeting.
The Company received shareholder approval with 92.15%voting for the passing by special resolution to consolidate its shareson the basis of up to three (3) pre-consolidated common shares withoutpar value for one (1) post-consolidated common share without parvalue, or such lesser whole number of pre-consolidated common sharesas the directors may determine, subject to regulatory approval,pursuant to the powers vested in the Board under the Company’sArticles. The implementation of a share consolidation remainssubject to the approval of the Board of Directors and the Company willprovide further updates respecting any share consolidation if and whenwarranted.
The Company further wishes to announce the resignationof Arif Merali as a Director.
