UNVR - Univar Solutions Announces Sale of 11594268 Shares of Common Stock by Clayton Dubilier & Rice LLC
DOWNERS GROVE, Ill., Sept. 23, 2019 /PRNewswire/ -- Univar Solutions Inc. (NYSE:UNVR) ("Univar Solutions") announced today the sale of 11,594,268 shares of Univar Solutions' common stock (representing approximately 6.9% of its issued and outstanding shares) by investment funds affiliated with Clayton, Dubilier & Rice LLC ("CD&R"), to Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC, as the underwriters in the registered public offering of those shares. Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC propose initially to offer the shares of common stock to the public at a fixed price. After the offering, the public offering price or any other term of the offering may be changed.
CD&R will receive all of the net proceeds from this offering representing the conclusion of a 9-year investment in Univar Solutions. No shares are being sold by Univar Solutions. Following the offering, it is expected that CD&R will no longer hold any shares of Univar Solutions' common stock.
