URG - Ur-Energy prices $40M in stock and warrants offering

• Ur-Energy ( NYSE: URG ) priced its underwritten public offering of 34M shares and accompanying warrants to purchase up to 17M shares, at a combined public offering price of $1.18/share and accompanying warrant.
• The exercise price per whole share purchasable from the exercise of the warrants will be $1.50/ share, and the warrants will expire three years from issuance date.
• Underwriters granted 30-day option to purchase up to 5.1M additional shares/warrants to purchase up to 2.5M shares.
• Gross proceeds are expected to be ~$40.1M; net proceeds to be used for supplementing working capital for ramp-up at Lost Creek, to maintain operational readiness, for possible future acquisitions or other strategic transactions and general corporate purposes.
• Offering is expected to close on or about Feb.21, 2023.
