VPT:CC - Ventripoint Makes Application to Amend Warrants

Toronto, Ontario, April 3,2025 – TheNewswire - Ventripoint Diagnostics Ltd. (" Ventripoint " or the " Company "),(TSXV:VPT; OTC:VPTDF) announces that it hasmade an application to the TSX Venture Exchange (the “ TSXV ”) to extendthe expiry date of a total of 2,845,771 commonshare purchase warrants (the “ Warrants ”) exercisable at $0.30. TheWarrants were originally issued by the Company in connection with aprivate placement financing made topurchasers’ resident in Canada, except Quebec, pursuant to thelisted issuer financing exemption under Part 5A of National Instrument45-106 Prospectus ExemptDistributions, which closed in two tranches onOctober 17, 2024 and November 12, 2024. (see press releases on August29, 2024, September 17, 2024, October 15, 2024 and November 14, 2024).
An aggregate of 2,351,730 Warrants issued October 17,2024 and expiring April 17, 2025 and an aggregate of 494,041 Warrantsissued November 12, 2024 and expiring May 12, 2024 will now expire onApril 17, 2026.
The Warrants to be amended do not include warrantsissued to finders. All other provisions of the Warrants will remainthe same and holders will not receive an amended Warrant certificate.
The Warrant extension is subject to final acceptance byTSXV Exchange.
