Brossard, Québec - TheNewswire - October 22, 2025 – Windfall Geotek(CSE: WIN) (the “Company”), a leader in the use of ArtificialIntelligence (AI) since 2005 in the mining sector for DigitalExploration, announces that it will conduct a non-brokered privateplacement (the “Offering”) of up to 25,000,000 units of theCompany (each, a “Unit”) at a price of $0.02 per Unit, for maximumgross proceeds of up to $500,000. Each Unit is comprised of one (1)common share of the Company and one common share purchase warrant (a“Warrant”), each Warrant entitling the holder to purchase a commonshare of the Company (a “Warrant Share”) at an exercise price of$0.05 per Warrant Share for a period of two (2) years following theclosing of the Offering.
The net proceeds raised from the Offering will be used for workingcapital and bona fide debt settlement, excluding accrued salaries toofficers or directors of the Company and payment for investorrelations activities.
In connection with closing of the Offering, the Company may payfinders’ fees to eligible parties who have assisted in introducingsubscribers to the Offering. Completion of the Offering remainssubject to regulatory approval.
