ZIVO - Zivo Bioscience announces pricing of $4M registered direct offering

- Zivo Bioscience ( NASDAQ: ZIVO ) said on Friday that it had entered into an agreement with a single institutional investor to purchase 1.5M shares of its common stock in a registered direct offering.
- ZIVO shares fall -16.3% .
- In a concurrent private placement, ZIVO also agreed to sell to the investor Series A warrants to purchase 1.5M shares of common stock and Series B warrants to buy 1.5M shares of common stock.
- "The combined effective offering price for each share of common stock and accompanying Series A and Series B warrant is $2.67," ZIVO said in a statement .
- Company expects proceeds of about $4M from the registered direct offering and concurrent private placement.
- The offering is expected to close on or about July 5.
