Each Option is exercisable to acquire one common share of the Company (a "Share") at a price of $2.85 per Share, for a period of five years from the date of grant. The RSUs shall vest in three equal tranches, with one-third vesting on each of the first, second, and third anniversaries of the date of grant. Upon vesting, each RSU shall entitle the holder to receive one Share. All grants of Options and RSUs are subject to the Company's omnibus equity incentive plan (the "Equity Incentive Plan"), which was approved by shareholders at the Company's annual general and special meeting of shareholders held on June 30, 2025 (the "Meeting").
