(“ BitcoinWell ” or the “ Company ”)( TSXV: BTCW; OTCQB:BCNWF ), the non-custodial bitcoin business on amission to enable independence, is pleased to announce, further to itsnews release dated September 29, 2025, that the TSX Venture Exchangehas granted a thirty-day extension to the Company for completion ofits private placement of units (the “ Units ”) at a priceof C$0.102 per Unit (the “ Offering ”). A full description of the termsof the Offering is set out in the Company’s news release datedSeptember 29, 2025.

The Company anticipates closing a second tranche of theOffering (the “ SecondTranche ”) on or before November 28, 2025.

The Offering is intended to provide Bitcoin Wellinvestors access to a sizable Bitcoin treasury which is coupled with aBitcoin operating business. The Company intends to use the netproceeds from the Offering for further additions to its strategicBitcoin reserve, working capital, and for general corporate purposes.
